1. Enrolling in the Affiliate Program.

To apply for participation in the affiliate Program, You must properly complete an Affiliate Program application and submit the Application.

We will review the Application and will notify you of our decision whether to accept the Application or reject it. We reserve the right to accept or reject the Application at our sole discretion. An application will be automatically rejected if it is submitted from an entity that has a web site any of the following:

• Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
• Promotes sexually explicit materials
• Promotes violence
• Promotes unlawful activities
• Violates intellectual property rights

If, at a later time after the Application is accepted, your web site is found to contain any of the above, we reserve the right, at our sole discretion, to terminate the Agreement.

You will be responsible for integrating the Links into your site to properly enable tracking sales, and we will not be responsible for your failure to do so, including to the extent such failure may result in any reductions of amounts that would otherwise be paid to you under this Agreement.

Commission Determination:

Package 1

Commissions will be paid at a rate of £0.50 for each visitor who becomes a member of www.prizebid.co.uk during a thirty day period after entering for free prize on your website.

Commissions will be paid at a rate of 10% of each valid paid purchase made by visitors referred from your website for the lifetime of either your own affiliation or your visitors membership of our sister site www.prizebid.co.uk.

Package 2

Commissions will be paid at a rate of £0.02 for each visitor who enters our free prize auction, excluding any visitor who is already a member of the site.

Payment:

Commissions will be paid at a rate of 10% of each valid paid purchase made by visitors referred from your website for the lifetime of either your own affiliation or your visitors membership of our sister site www.prizebid.co.uk.

All sales must be verified valid by Prize Promotions and commissions are not earned on payments that must be cancelled for any reason including but not limited to fraud, denied credit cards, per customer request, etc. Once a referral is made, commissions are earned on all valid purchases made by that customer for the full lifetime of their membership of www.prizebid.co.uk.

Every month commissions earned are paid direct to you through paypal provided the balance is greater than £20; otherwise the balance rolls over to the next month until it exceeds £20.

Inactive account that have no visitors entering free prize for a period of 60 days shall be removed. Commision shall not be paid on amounts less than £20.

Relationship of Parties:

You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Section. Audit You will have the right to have a certified public accountant, acceptable to us, examine our applicable books and records as are necessary to verify the accuracy of payments made to you under this Agreement. You are entitled to conduct such an audit only during normal business hours, at your expense, upon reasonable notice and no more frequently than once per calendar year.

Limitation of Liability:

We will not be liable for indirect, special, or consequential damages (or any loss of revenue, profits, or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this Agreement and the Program will not exceed the total referral fees paid or payable to you under this Agreement.

Modification:

We may modify any of the terms and conditions contained in this Agreement, at any time and in our sole discretion, by posting a change notice or a new agreement on our site. Modifications may include, for example, changes in the scope of available referral fees, referral fee schedules, payment procedures, and Program rules. If any modification is unacceptable to you, your only recourse is to terminate this agreement. Your continued participation in the program following our posting of a change notice or new agreement on our site will constitute binding acceptance of the change.
